Limited Şirket Sözleşmesinde Zorunlu Kayıtların Düzenlenmesi

چکیده
Limited şirket sözleşmesi, limited şirketin anayasası olarak ifade edilir. Şirket şirketler hukukunda çok önemli bir yere sahip hukuk kaynağıdır. sözleşmesinde hukuku düzleminde etkilerini gösteren iki farklı temel kayıt türü bulunmaktadır. Bunlardan biri çalışmamızın da konusunu oluşturan ve TTK m. 576’da gösterilen yer alması gereken zorunlu kayıtlar iken diğeri ise 577’de Kanunun muhtelif hükümlerinde geçerliliği öngörülmelerine bağlı olan ihtiyari kayıtlardır. Türk olduğu gibi İsviçre, Alman Avusturya bulunması hükümler öngörülmüştür. Mutlak İsviçre İsvBK 776’da, AGmbHG § 3/f. 1’de AvGmbHG 4/f. gösterilenlerden ibarettir. Bu hükümler, sözleşmesinin asgari içeriğini oluşturmaktadır. Çalışmamızda kayıtların ne şekilde düzenlenebileceği ele alınmaktadır.
